Can nonprofit board members be paid?

Yes, within limits. A 501(c)(3) must be operated so that none of its earnings inure to a private shareholder or individual (IRS), which is why board compensation has to be reasonable for the work actually done and approved without the interested person voting. Reimbursing documented expenses is not compensation. Paying a director for professional services is a related-party transaction and is disclosed as such.

Do nonprofits have to report salaries?

Not every salary — the ones the form names. Part VII captures officers, directors, trustees, key employees over the reporting threshold and the five highest compensated employees at or above $100,000 (IRS). Compensation below those lines is reported only in aggregate in the functional expense statement. Contributor names and addresses, by contrast, are not part of the public disclosure (IRS).

How many board members should a nonprofit have?

The IRS does not set a number; state nonprofit corporation law does, and the minimum is commonly one to three directors. Part VI of the Form 990 asks for the number of voting members and how many were independent, which is the number funders actually look at.
